1. Agreement to these Terms

These Terms of Use (“Terms”) are a binding agreement between you and Mimble, Inc. (“Mimble,” “GameClip AI,” “we,” “us,” or “our”). By downloading, accessing, purchasing, or using GameClip AI, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the service. If you use GameClip AI for a team, school, club, business, or other organization, you represent that you have authority to bind that organization, and “you” includes the organization.

Eligibility and minors

You must be at least 13 to create or independently use an account. If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms and supervise your use. Children under 13 may not independently create or manage an account.

A parent, guardian, coach, team, or organization that creates a player profile or records, uploads, analyzes, or shares content involving a minor is responsible for obtaining all legally required permissions and for using appropriate youth-safeguarding practices.

2. Accounts and security

Provide accurate information, keep it current, and protect your credentials and devices. You are responsible for activity under your account and for access you grant to coaches, team members, recruiters, or organization administrators. Notify us promptly if you suspect unauthorized access.

You may not impersonate another person, create an account for someone without authorization, transfer an account in violation of these Terms, or use another person’s credentials.

3. GameClip AI and AI-assisted features

GameClip AI may provide manual or automated video capture, clip trimming and organization, player folders, cloud features, comparisons, team or coach access, captions, recruiting and social exports, performance overlays, and AI-assisted analysis. Features vary by plan, device, region, app version, and technical availability and may change over time.

GameClip AI is not a medical device and does not provide medical, physical-therapy, injury, legal, eligibility, academic, or recruiting advice. Do not use AI feedback to diagnose an injury, determine whether an athlete is safe to play, or replace a qualified coach, trainer, clinician, scout, advisor, or other professional.

We do not guarantee performance improvement, velocity, playing time, exposure, recruitment, scholarship offers, roster placement, admission, or any particular result.

4. Your content and permissions

Ownership

As between you and Mimble, you retain ownership of videos, images, audio, player information, notes, tags, metrics, and other content you submit or create (“User Content”), subject to any rights held by other people appearing in or contributing to that content.

License needed to operate the service

You grant Mimble a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, transmit, process, display, and create technical derivatives of User Content solely as reasonably necessary to operate, secure, improve, and provide GameClip AI; perform actions you request; comply with law; and enforce these Terms. This license ends when the content is deleted from our active systems, except for limited backup, legal, safety, and enforcement retention.

Your promises about content

You represent and warrant that:

• You own the User Content or have all rights and permissions needed to provide and use it.
• Your content and requested use do not violate privacy, publicity, copyright, trademark, contract, safeguarding, or other rights.
• You have permission to provide player information and to record and share every identifiable person included in the content.
• Your content is accurate to the extent accuracy is necessary for the requested feature.

Sharing and exports

If you share a clip, invite another user, export recruiting content, or send content to a social, cloud, or third-party destination, you direct us to provide that content to the selected recipient. Once shared, copies may remain outside our control even if you later delete the original.

5. Recording, teams, and youth-sports responsibilities

Recording and privacy laws vary by location and circumstance. Before recording or uploading, obtain permission from athletes, parents or guardians, coaches, teams, leagues, schools, facility operators, and other people when required. Respect posted rules, restricted areas, confidential team information, and bans on recording or device use.

Do not use GameClip AI to secretly record private communications, locker rooms, medical treatment, or locations where a person reasonably expects privacy. Do not expose a minor’s contact information, routine, precise location, school schedule, or other information that could create a safety risk.

Team and organization administrators are responsible for assigning appropriate roles, promptly removing access when no longer authorized, managing consent, and maintaining their own policies and records. GameClip AI does not verify a person’s coaching, scouting, recruiting, or team role.

6. Acceptable use

You may not use GameClip AI to:

• Break the law, violate league or school rules, or infringe another person’s rights.
• Harass, exploit, sexualize, endanger, deceive, or discriminate against any person, especially a minor.
• Upload unlawful, abusive, threatening, sexually explicit, invasive, fraudulent, or malicious content.
• Misrepresent AI output, fabricated metrics, altered footage, identity, affiliation, recruiting status, or athletic performance.
• Access accounts, player profiles, teams, systems, or data without authorization.
• Interfere with, probe, overload, damage, bypass, or circumvent the service or its security, subscriptions, usage limits, or access controls.
• Reverse engineer, scrape, copy, resell, or exploit the service except where applicable law expressly permits it.
• Upload malware or use automated systems that create unreasonable load or risk.
• Use the service or its output to develop or train a competing model, product, or service without our written permission.

We may investigate suspected violations and remove or restrict content or access when reasonably necessary to protect users, minors, the service, or others.

7. Subscriptions and App Store purchases

Paid plans are offered as auto-renewable subscriptions through Apple’s App Store. Prices, billing periods, included features, trials, introductory offers, and renewal terms are shown before purchase and may vary by region. Apple processes payment and applies its payment, subscription, refund, and tax rules.

Unless canceled at least 24 hours before the end of the current subscription period—or as otherwise stated by Apple—your subscription may automatically renew and Apple may charge the payment method associated with your Apple ID. Manage or cancel subscriptions in your Apple ID subscription settings. Deleting the app or your GameClip AI account does not automatically cancel an Apple subscription.

We may change plan features or pricing prospectively. Apple will provide any notice or consent required for subscription price changes. Except where required by law or Apple’s policies, purchases are non-refundable. Contact Apple for App Store billing and refund requests.

8. Our service and intellectual property

GameClip AI—including its software, design, branding, interfaces, text, graphics, models, workflows, and non-user content—is owned by Mimble or its licensors and protected by intellectual property laws. Subject to these Terms and applicable Apple terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use GameClip AI for its intended purposes.

If you provide ideas or feedback, you grant us permission to use them without restriction or compensation, but you are not required to provide feedback.

9. Third-party services

GameClip AI may depend on or link to third-party services, including Apple, authentication and cloud providers, OpenAI, social platforms, recruiting destinations, and storage services. Their terms and privacy policies govern their independent services. We are not responsible for third-party content, availability, decisions, or practices.

10. Suspension, termination, and changes

You may stop using GameClip AI at any time and may request account deletion. We may suspend, restrict, or terminate access, remove content, or take protective action if we reasonably believe you violated these Terms, created legal or safety risk, failed to pay, abused the service, or threatened users, minors, or systems.

We may modify, discontinue, or temporarily interrupt all or part of the service. When reasonably practical, we will provide notice of material changes. Sections that by their nature should survive termination—including ownership, licenses already needed for retained copies, disclaimers, liability limits, and dispute terms—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAMECLIP AI IS PROVIDED “AS IS” AND “AS AVAILABLE.” MIMBLE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT CAPTURE, AUTO-TRIMMING, SMART FRAMING, METRICS, CLOUD STORAGE, EXPORTS, AI OUTPUT, OR OTHER FEATURES WILL BE ERROR-FREE, COMPLETE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR PLAYER OR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIMBLE AND ITS OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, DATA, OPPORTUNITIES, GOODWILL, OR RECRUITING OUTCOMES; PERSONAL INJURY ARISING FROM RELIANCE ON AI OR PERFORMANCE INFORMATION; OR UNAUTHORIZED ACCESS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MIMBLE AND THE COVERED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR GAMECLIP AI DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limits apply only to the extent permitted by law and do not limit liability that cannot legally be excluded or limited. Your local law may provide additional rights.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Mimble and its officers, employees, affiliates, licensors, and service providers from claims, losses, liabilities, and reasonable costs arising from your User Content, your recording or sharing activities, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from Mimble’s own unlawful conduct.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence continue to apply where they cannot lawfully be waived.

Before filing a claim, you and Mimble agree to make a good-faith attempt to resolve the dispute informally for 30 days after written notice. Unless applicable law gives you the right to bring a claim elsewhere, state and federal courts located in Broward County, Florida will have exclusive jurisdiction. Either party may seek urgent injunctive or equitable relief where appropriate.

15. Apple App Store terms

Your download and use of the iOS app are also subject to Apple’s applicable App Store and media services terms. Unless a valid custom license agreement is presented for GameClip AI, Apple’s Standard Licensed Application End User License Agreement applies to the app license. These Terms supplement and do not replace Apple’s applicable terms.

This agreement is between you and Mimble, not Apple. Mimble, not Apple, is responsible for GameClip AI and its content, subject to these Terms. Apple has no obligation to provide maintenance or support for GameClip AI beyond obligations that cannot be excluded by law. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-related provisions against you.

16. General terms

These Terms, the Privacy Policy, applicable plan or offer terms, and Apple terms constitute the agreement governing your use of GameClip AI. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, acquisition, financing, or sale of assets.

We may update these Terms. We will post the revised Terms with a new effective date and provide additional notice when required. Continued use after the effective date constitutes acceptance where permitted by law; otherwise, we will request consent.
